1. Acceptance of Terms

By accessing or using any part of the Syntrib platform, website, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use our services.

2. Description of Services

Syntrib provides an AI-powered business management suite that includes, but is not limited to:

• Club and Membership Management
• Food & Beverage (F&B) Management
• Hotel and Room Booking
• Inventory Management
• Events and Facility Booking
• Billing and Payments
• AI-powered Analytics and Insights

The specific modules and features available to you depend on your subscription plan and agreement with Syntrib.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must provide accurate, current, and complete information when creating your account and keep it updated.
• You must immediately notify Syntrib of any unauthorized use of your account or any other security breach.
• Syntrib reserves the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payments

• Access to Syntrib services requires a paid subscription unless otherwise specified in a free trial or promotional offer.
• Subscription fees are billed in advance as per the agreed billing cycle (monthly, quarterly, or annually).
• All payments are processed through secure third-party payment gateways (including Razorpay) and are subject to applicable taxes (including GST).
• All fees are quoted in Indian Rupees (INR) unless otherwise stated.
• Failure to make timely payments may result in service suspension or termination.
• Prices are subject to change with reasonable prior notice.

5. Intellectual Property

All content, features, and functionality of the Syntrib platform -- including but not limited to software code, AI models, design, text, graphics, logos, icons, and the overall look and feel -- are the exclusive property of SYNTRIB TECHNOLOGY PRIVATE LIMITED and are protected by intellectual property laws.

• You are granted a limited, non-exclusive, non-transferable license to use our services for your internal business purposes.
• You may not copy, modify, distribute, sell, or lease any part of our platform without explicit written permission.
• You may not reverse-engineer, decompile, or attempt to extract the source code of our software.
• Any feedback, suggestions, or ideas you provide to us may be used without any obligation to compensate you.

6. Acceptable Use

You agree not to use our services for any unlawful purpose or in any manner that could harm, disable, overburden, or impair our infrastructure. Specifically, you must not:

• Upload or transmit any material that is unlawful, defamatory, harassing, or otherwise objectionable.
• Attempt to gain unauthorized access to any part of the platform, other accounts, or computer systems.
• Use automated tools (bots, scrapers, crawlers) to access the platform without permission.
• Interfere with or disrupt the integrity or performance of the services.
• Use the platform to process or store sensitive payment card data in violation of PCI-DSS compliance.

7. Data Ownership

• You retain ownership of all data you input into the Syntrib platform ("Your Data").
• By using our services, you grant Syntrib a limited license to process Your Data solely for the purpose of providing and improving our services.
• Syntrib will not share, sell, or use Your Data for purposes other than those outlined in our Privacy Policy.
• Upon termination of your account, you may request an export of Your Data within 30 days.

8. Service Availability

While we strive for 99.9% uptime, Syntrib does not guarantee uninterrupted access to our services. We may perform scheduled maintenance, updates, and upgrades that could temporarily affect availability. We will provide advance notice of planned downtime wherever possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Syntrib shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services.
• Our total liability for any claim relating to our services shall not exceed the fees paid by you for the six (6) months preceding the claim.
• Syntrib is not liable for any loss of data, revenue, or business arising from service outages, third-party failures, or force majeure events.

10. Indemnification

You agree to indemnify and hold harmless SYNTRIB TECHNOLOGY PRIVATE LIMITED, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of our services or violation of these Terms.

11. Termination

• Either party may terminate the service agreement with written notice as per the subscription agreement terms.
• Syntrib reserves the right to immediately terminate or suspend your access if you violate these Terms.
• Upon termination, your right to use the services ceases immediately, and we may delete your account data after the retention period specified in our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of Syntrib services shall be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana, India.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of the services after changes constitutes acceptance of the updated Terms. We will make reasonable efforts to notify active subscribers of material changes.
